Digitool.dev – Terms and Conditions

Please read these Terms and Conditions (“Terms”) carefully before subscribing to or using any of our services. Your use of our website, dashboard, or services constitutes your acceptance of these Terms in full.

1. Scope & Contractual Framework

These Terms, together with any written service order you submit (via our website or email), form the complete agreement between you (“Client,” “you,” or “your”) and Digitool.dev (“we,” “us,” or “our”). If any part of your written order conflicts with these Terms, the order takes precedence for that specific point. All other provisions in these Terms remain in effect.

2. Services Overview

We offer subscription-based development using low-code/no-code platforms. Our core packages are:

●  MVP Development: From concept validation through launch-ready Minimum Viable Products.

●  Workflow Automation: AI-driven and middleware-powered integration of internal and sales workflows.

●  Product Scaling: Feature expansion, automated sales funnels, and go-to-market support.

●  Custom Packages: Tailored service bundles, from single-expert engagement to fully scaled teams.

Every subscription includes a dedicated, cross-functional team (Developer, UX/UI Designer, Project Manager, Automation Expert, Growth Manager) and 24/7 access to your project dashboard for task requests, status updates, and direct communication.

3. Subscription, Fees & Billing

●  Minimum Engagement: All subscriptions begin at €3,000 per month.

●  Invoicing: We bill monthly in advance. Your first invoice is issued upon signup;
subsequent invoices recur on the same calendar date each month.

●  Payment Terms: Payments are due within 7 days of the invoice date. We accept
bank transfers and major credit cards (processed via Stripe).

●  Late Fees & Suspension: Overdue payments incur a 1.5% monthly interest charge.
We reserve the right to suspend service access (including dashboard and
    development work) until full settlement.

4. Staging & Deployment

●  No Staging Fees: During the development and testing (staging) phase - prior to any public or private launch - you incur no platform hosting charges.

●  Go-Live Costs: Upon deployment, you become responsible for subscribing to and paying for your production instances of third-party platforms (Xano, WeWeb, Webflow, etc.). We handle configuration and handover, but ongoing hosting and licensing costs transfer to you.

5. Term & Termination

●  Contract Term: Subscriptions automatically renew monthly.

●  Client-Initiated Termination: You may cancel at any time with 30 days’ written notice. We will continue services through that period and then provide full offboarding, exporting all code and assets from platforms that support it, and assisting you in migrating your data and workspace to your own instance of the development platform.

●  Provider-Initiated Termination: We may terminate immediately if you:

        ○  Fail to pay within 7 days of a written late-payment notice.

        ○  Provide fraudulent or misleading information.

        ○  Violate confidentiality or misuse our systems.

●  Post-Termination: All outstanding fees become due immediately. We’ll deliver any project assets within 7 days, then revoke dashboard access.

6. Client Responsibilities

6.1 Requirements & Feedback

You agree to provide clear, detailed project requirements, timely feedback on deliverables, and any necessary assets (design files, brand guidelines, content, etc.) so that we can keep your project on schedule and on budget.

6.2 Access & Cooperation

●  After you subscribe, we will share a dedicated email address (for example, [email protected]) that our team will use when requesting access or performing integrations.

●  You agree to grant secure, role-based permissions to that email address for any required systems (CRMs, databases, analytics tools, etc.).

●  Prompt provisioning of credentials and permissions to our designated email is essential to maintain project momentum and meet delivery timelines.

6.3 Dashboard Use

All feature requests, bug reports, scope changes, and approvals must be submitted through our project management dashboard. This ensures:

●  Accountability and clarity for both parties

●  Accurate time tracking and resource allocation

●  A single source of truth for your project’s status

Note: Delays in providing feedback, access, or required assets may impact delivery dates. We cannot be held responsible for timeline shifts caused by client-side delays.

7. Intellectual Property

●  Client-Owned Deliverables: Upon full payment, you own all code, designs,
documentation, and media created specifically for your project.

●  Third-Party Components: Any licenses or subscriptions for third-party platforms
and services (e.g., Xano, WeWeb, Stripe) are your responsibility once your project
goes live. We will document all such dependencies and guide you through any
required setup or migrations.

●  Pre-Existing Tools: We retain rights to our internal tools, frameworks, and
templates. You receive a non-exclusive, perpetual, royalty-free license to use these
components within your project, during its duration.

8. Confidentiality

Both parties agree to safeguard all non-public business information, technical data, and trade secrets shared during the engagement. This confidentiality obligation remains in effect during the contract and for three years thereafter, except where disclosure is required by law.

9. Warranties & Disclaimers

●  Our Warranty: We warrant that all services will be performed with professional skill and care, in line with industry standards.

●  Disclaimer: Except as explicitly stated, all services are provided “as-is,” and we disclaim additional warranties (including merchantability or fitness for a particular purpose).

10. Liability

10.1 Our Maximum Guarantee

We stand behind our work, but to keep things fair, our total responsibility for any issue is limited to the fees you’ve paid us over the past 12 months.

10.2 What We Can’t Cover

While we do our best to prevent mishaps, we can’t be responsible for:

●  Lost profits or business interruptions

●  Corrupted data or third-party outages (e.g., Xano, WeWeb, Stripe)

●  Costs from finding alternatives or workarounds

Think of this as a way to keep our partnership sustainable, so we can keep delivering great work without surprises.

10.3 Our Unwavering Promise

There are two things we’ll always be fully on the hook for:

a.  Any injury or loss of life caused by our negligence.

b.  Fraud or intentional wrongdoing on our part.

For everything else, we’ll work with you in good faith to find a solution—just let us know and
we’ll do our best to help.

11. Data Protection & Compliance

At Digitool.dev, we take the security and privacy of your data seriously. Here’s how we ensure your information is handled responsibly and in full compliance with applicable regulations:

11.1 GDPR Compliance

●  We process personal data only for the purposes outlined in our Privacy Policy and service agreement, under the legal bases of contract performance, legitimate interest, or your consent.

●  We provide a Data Processing Agreement (DPA) upon request, detailing our obligations and yours under the EU General Data Protection Regulation (GDPR).

●  You have full control over your data, access, rectification, erasure, and portability rights are all supported and can be exercised by contacting [email protected].

11.2 ISO-Certified Platforms

●  We build on Xano and WeWeb, both of which maintain ISO 27001 certification for information security management.

●  These platforms employ rigorous third-party audits, secure data centres, and robust disaster-recovery plans to ensure continuous protection of your data.

11.3 Security Measures

●  Encryption: All data in transit is protected via HTTPS/TLS; sensitive data at rest is
encrypted using industry-standard AES.

●  Access Controls: We enforce strict, role-based permissions and two-factor
authentication for all team members and administrator accounts.

●  Incident Response: In the unlikely event of a breach, we have an established
incident-response protocol to contain, investigate, and remediate any issues within 72 hours, and we will notify you promptly if your data is affected.

11.4 Subprocessors & Third-Party Services

●  Any subprocessors we engage (e.g., Stripe for payments, Pipedrive for email) are vetted for GDPR and ISO compliance.

●  A current list of subprocessors and their privacy certifications is available upon request.

11.5 Privacy-By-Design

●  We embed privacy considerations into every stage of development, minimising data collection, anonymising PII where possible, and providing user-accessible controls over their information.

11.6 Cross-Border Data Transfers

●  When data is transferred outside the European Economic Area, we rely on EU Standard Contractual Clauses (SCCs) or equivalent safeguards to ensure the same level of protection worldwide.

12. Changes to These Terms

We may update these Terms periodically to reflect new services, legal requirements, or business practices. Material changes take effect at your next subscription renewal; we will notify you at least 30 days in advance. Continued use after the change constitutes acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by Slovenian law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ljubljana, Slovenia.
